Terms of Service

1. Overview of the Service
The platform (the "Service") provides an online marketplace that enables clients ("Clients") and independent service providers ("Workers") to connect, enter into agreements, and process payments. The Service is not a party to any agreement between Clients and Workers.
2. No Employment or Agency Relationship
Nothing in these Terms creates any employment, partnership, or agency relationship. Workers are independent contractors.
3. Eligibility
Users must be at least 18 years old and legally capable of entering into binding agreements.
4. Contract Formation Between Users
A legally binding agreement is formed only when:
By confirming acceptance, the Worker agrees to perform the services under the agreed terms.
The Service is not a party to such agreements.

5. Platform Role Limitation
The Service does not control or direct how work is performed.
6. User Responsibilities
Users must comply with laws and avoid creating employment relationships.
7. Payments
Payments are processed via third-party providers. Fees may apply.
8. Intellectual Property
Ownership transfers to Client upon full payment.
9. Confidentiality
Users must not disclose confidential information.
10. Reviews
Reviews may be moderated or delayed.
11. Prohibited Conduct
Users shall not impose employment-like conditions or engage in unlawful activities.
12. Off-Platform Transactions
Users agree not to circumvent the Service by completing transactions outside the platform for engagements initiated through the Service.
13. Indemnification
Users agree to indemnify the Service.
14. Disclaimer
The Service is provided "as is."
15. Limitation of Liability
Liability is limited to fees paid.
16. Disputes Between Users
Users must resolve disputes directly.
17. Arbitration
All disputes are subject to AAA arbitration. No class actions.
18. Termination
Accounts may be suspended or terminated.
19. Modifications
The Service may change at any time.
20. Governing Law
Michigan law applies.
21. Compensation and Payment Terms
All compensation is a fixed amount agreed at contract formation.
Compensation may not be reduced after completion.
Additional compensation may be agreed upon by both parties.
Any modification must be agreed in advance through the Service. Changes without prior agreement are not binding.
22. Taxes and Legal Compliance
The Service does not provide tax, legal, accounting, or other professional advice.
Income earned through the Service may be taxable depending on the user's circumstances. If certain conditions are met, tax forms such as Form 1099-NEC may be issued.
Each user is solely responsible for reporting, filing, paying, and otherwise handling any taxes or similar obligations related to income earned through the Service.
Users should consult an accountant, tax adviser, lawyer, or other qualified professional when needed regarding the tax and legal treatment that applies in their jurisdiction or personal situation.
Users, including expatriates and their family members, are responsible for reviewing any employer-sponsored tax policies, mobility policies, or support limits that may apply to them.
Each user is responsible for confirming that they are legally authorized to perform work through the Service where required by applicable law.
The Company is not responsible for a user's tax filings, tax payments, work authorization, or other legal compliance obligations.
23. Communications with Users
The Company may contact users at their registered email address about account, engagement, payment, support, security, policy, and other Service-related matters.
By creating an account or using the Service, users consent to receive marketing communications from the Company where permitted by law. Users may opt out of marketing emails at any time, but operational or legally required messages may still be sent.
24. Acceptance
By using the Service, you agree to these Terms.
